Agreement to These Terms
These Terms and Conditions ("Terms") govern access to and use of PRISM Diligence ("PRISM," "we," "us," or "our"), including our website, financial diligence workspace, APIs, reports, and related services. By creating an account, signing in, or using PRISM, you agree to these Terms on behalf of yourself and the organization you represent. If your organization has a separate written agreement with us, that agreement controls where it conflicts with these Terms.
The Service
PRISM provides software for financial diligence workflows, including document upload, OCR, data extraction, financial structuring, adjustments, forecasting, deal analysis, reports, and exports. PRISM is a software tool, not a law firm, accounting firm, broker-dealer, investment adviser, tax adviser, or valuation firm.
Accounts and Access
- You must provide accurate account information and keep your email account secure.
- You are responsible for activity under your account and for users you invite or administer.
- You may not share authentication codes, bypass access controls, or use another person's account without authorization.
- We may suspend or restrict access if we believe an account is compromised, misused, unpaid, or creates risk to PRISM, users, or third parties.
Customer Content
As between you and PRISM, you retain ownership of documents, financial data, project data, notes, and other content you upload or submit to the service ("Customer Content"). You grant PRISM a limited license to host, copy, process, transmit, display, and create outputs from Customer Content as needed to provide, secure, support, and improve the service and as otherwise permitted by these Terms and our Privacy Policy.
You represent that you have the rights and authority necessary to upload and process Customer Content through PRISM and its service providers. You are responsible for reviewing extracted data, assumptions, calculations, reports, and exports for accuracy and suitability before relying on them.
AI, OCR, and Output Accuracy
PRISM uses OCR, automated parsing, and AI model providers to generate extracted data, diligence questions, analysis, summaries, and other outputs. These technologies can produce incomplete, inaccurate, or unexpected results. Outputs are provided to support professional review and are not a substitute for independent diligence, business judgment, accounting advice, legal advice, tax advice, investment advice, or valuation advice.
Acceptable Use
- Do not use PRISM for unlawful, harmful, infringing, deceptive, or abusive activity.
- Do not upload malware, exploit code, or content you are not authorized to use.
- Do not attempt to reverse engineer, scrape, overload, probe, or bypass security controls for the service.
- Do not use PRISM to make automated decisions that have legal or similarly significant effects without appropriate human review.
Security and Confidentiality
We use reasonable safeguards designed to protect Customer Content, including private object storage, short-lived signed upload URLs, transport encryption, access controls, monitoring, and operational security practices. You must maintain appropriate safeguards for your own accounts, devices, downloads, exports, and copies of Customer Content.
Third-Party Services
PRISM depends on third-party services for hosting, storage, database, email, payments, observability, OCR, AI models, and other operations. Your use of PRISM authorizes us to use those providers as needed to provide the service. Third-party services may be subject to their own terms, policies, and availability.
Fees, Billing, and Subscriptions
Paid plans, if applicable, are billed through Stripe or another payment processor. You authorize recurring charges for the plan you select until canceled. Fees are non-refundable except as required by law or expressly stated in a separate written agreement. We may change prices or plan features with reasonable notice.
Intellectual Property
PRISM and its software, design, workflows, documentation, logos, and other materials are owned by PRISM or its licensors. Except for the limited right to use the service under these Terms, no rights are transferred to you. If you provide feedback, you grant us the right to use it without restriction or compensation.
Disclaimers
PRISM is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, availability, and error-free operation.
Limitation of Liability
To the maximum extent permitted by law, PRISM will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or loss of goodwill. Our aggregate liability for claims relating to the service will not exceed the amounts paid by you to PRISM for the service in the three months before the event giving rise to the claim, or 100 USD if you have not paid us.
Termination
You may stop using PRISM at any time. We may suspend or terminate access if you violate these Terms, fail to pay fees, create risk, or if we discontinue the service. After termination, we may retain or delete Customer Content according to our Privacy Policy, legal obligations, backups, and operational needs.
Changes to These Terms
We may update these Terms from time to time. The updated version will be posted with a new "Last updated" date. Continued use of PRISM after an update means you accept the revised Terms.
Governing Law
These Terms are governed by the laws of the State of Delaware, excluding conflict-of-law rules, unless a separate written agreement or applicable law requires otherwise.
